We are searching for a Manager of Corporate Governance -- someone who works well in a fast-paced setting. In this position,  you will provide primary support for either the Corporate Governance Function or the Administrative Fellowship Program, with secondary support for the other area. Oversight and coordination of the governance function and/or administrative fellowship program for Texas Children's and all corporate affiliates while ensuring the integrity of the role and office. Work closely with leadership to support and/or lead high-impact projects/initiatives for the Office of the President & CEO. Provide support and guidance to peer leader with the administrative fellowship program/corporate governance functions. Provide support and help provide oversight and coordination of assigned function(s).

Job Duties & Responsibilities
  • Drafting and or coordinating board related documents (code of conduct, bylaws, committee charters, etc.) 
  • Coordinating the annual Board self-evaluation process, including drafting of evaluation tool, compiling of responses, and developing the reports and documents associated for review and reporting to President & CEO and Board leadership 
  • Coordination of review and approval (including development of initial drafts) of Board committee charter
  • Responsible for the integrity of all Texas Children’s governing documents and governance processes. 
  • Coordinating with outside counsel for preparation of initial drafts and reviews of any changes to bylaws and charters 
  • Maintaining current versions of all bylaws and certificates of formation as well as all other key governing documents 
  • Document preparation relating to any changes in the corporate structure or organizational chart 
  • Managing the preparation and review of all Board and Board committee resolutions/approvals and that they are in compliance with accepted standards, and certified for documentation/archiving 
  • Managing the preparation and review of Board and Board committee action
  • Responsible for coordination of all administrative and governance support for Board and Board committee meetings and related activities for all Texas Children’s corporations (representing 11 Boards and 12 committees, typically more than 150 meetings a year).
  • Work with the Director, Chief of Staff and President & CEO to develop and facilitate communications to the Board, executive leadership, physician leaders and others (both formal and informal) 
  • Work with the Director, Chief of Staff and President and CEO to develop and facilitate communications to the organization (annual content calendar, OTM Blog, global emails, personal communications, Connect stories, Marketing & PR content, press releases, President & CEO presentations for all audiences and board education)
  • Responsible for coordinating and/or leading the Corporate Governance Team along with oversight of the Administrative Fellowship Program along with any other organizational initiatives
  • Ensures that Joint Commission requirements specific to your department are fulfilled but also understand the linkage between your department’s requirements and those of the integrated delivery system.
 
Skills & Requirements
  • Bachelor’s Degree required (Business, Health Administration or other applicable degree, Science/Biology, Technology, Journalism, English, Communication, Teaching/Education)
    • Master’s degree preferred and may substitute for two (2) years of experience
  • Minimum of 3 years of experience in healthcare or other field with similar responsibilities
  • Knowledge of governance issues and processes, general healthcare industry environment and trends, and communications. 
  • Exceptional communication skills (written and verbal), detail orientation, organizational skills, ability to manage multiple tasks with multiple priorities, resourcefulness and professionalism. 
  • Ability to think strategically, improve processes, and apply analysis and judgment at every opportunity. 
  • Ability to proactively and concisely communicate with all parties and levels of the organization with a client-facing demeanor and strong interpersonal skills. 
  • Leadership and entrepreneurial drive, with enthusiasm for working in a team environment.
